    Abstract

    ![CDATA[The discussion below of a company's powers derives from CA Ch 2B (Basic Features of a Company) and applies to companies only, not to all “corporations” registered under the Corporations Act. The law relating to corporations other than companies (see Ch 2 ) relies on the governing acts of those corporations. For example, the powers of a foreign company are circumscribed by legislation corresponding to the Corporations Act in the foreign company's place of incorporation. Unincorporated associations registered under the Corporations Act have no greater capacity than that of each member: Williams v Hursey (1959) 103 CLR 30.]]
