The 2006 CSRC guidelines for articles of association of listed companies : a Hong Kong viewpoint

    Abstract

    On March 16, 2006, the new Guidelines for Articles of Association of Listed Companies (the Guidelines) became effective, two months after the Chinese (PRC) Company Law took effect. The Guidelines were promulgated by the Chinese Securities and Regulatory Commission (CSRC). It substantially amended the original 1997 version. This article will compare and comments on the major Guideline provisions with their counterpart in Hong Kong (HK), the Table A. The English translation in this article was prepared by the writer. Ever since the Guidelines became effective, the writer visited the Book Cities (shu cheng) in Beijing, Shanghai, Nanjing, Guangzhou and Shenzhen. He has not been able to locate any English translation of the Guidelines. Any errors in translation or explanation belong to the writer. This article was presented at the Beijing Forum in the PRC on November 3, 2007.
